Vivendi's Combined Shareholders' Meeting, held today (editor's note: December 9, 2025) chaired by Yannick Bolloré, approved the proposed separation of Canal+, Havas, and Louis Hachette Group (which will combine its 66.53% stake in Lagardère and 100% of Prisma Media) by more than 97.5% of the votes cast. The first day of trading for these three companies will therefore take place, as announced, on December 16 on the London Stock Exchange, Euronext Amsterdam and Euronext Growth Paris, respectively.
With a quorum of 71.96% of shareholders present or represented, the two extraordinary resolutions concerning partial asset transfers subject to French partial spin-off regulations were overwhelmingly adopted, with 97.57% of votes in favor for Canal+ and 97.58% for Louis Hachette Group. The resolution concerning the distribution in kind of Havas NV shares to Vivendi shareholders, submitted as an ordinary resolution, was approved by 97.61% of the votes cast.

December 13 (inclusive) will be the deadline by which investors wishing to participate in the spin-off must have acquired Vivendi shares. The first listing of the shares of the three companies will take place on December 16, 2024, at 9:00 a.m. (Paris time), and the settlement and delivery of Canal+, Havas NV, and Louis Hachette Group shares to the accounts of Vivendi shareholders (eligible to participate in the spin-off) will take place on December 18, 2024.
January 15, 2025, is the deadline for payment of social security contributions and/or non-definitive withholding tax or withholding tax due.
